Ownership.
 
The information required by Items 4(a) – (c) is set forth in Rows 5 – 11 of the cover page and is incorporated herein by reference.
 
On July 27, 2012, the Reporting Person acquired, and became the beneficial owner of, 1,333,333 shares of Common Stock, which represents approximately 6.8% of the outstanding shares of Common Stock.  The Reporting Person has the sole power to vote, or to direct the vote of, and to dispose of, or to direct the disposition of, these shares. Such percentage is based on 19,597,126 shares of Common Stock outstanding on August 6, 2012 and does not take into account the shares of Common Stock that would be issued upon the conversion of any shares of preferred stock, or upon the exercise of any options or warrants, that are held by any person other than the Reporting Person.

The shares beneficially owned by the Reporting Person are comprised of (i) 700,000 shares of Common Stock owned of record by the Reporting Person and (ii) 633,333 shares of Common Stock held by Liviakis Financial Communications, Inc.  The Reporting Person is the sole shareholder of Liviakis Financial Communications, Inc.
