Item 1. Security and Issuer.

The name of the issuer is New Peoples Bankshares, Inc., a Virginia bank holding company headquartered in Honaker, Virginia (the “Issuer”). The address of the Issuer’s principal executive offices is 67 Commerce Drive, Honaker, Virginia 24260. This Schedule 13D relates to the Issuer’s common stock, par value $2 per share.

 

Item 2. Identity and Background.

  (c) Mr. Keene is President of Keene Carpet, Inc., Honaker, Virginia.

 

  (d) During the last five years, Mr. Keene, has not been convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors).

 

  (e) During the last five years, Mr. Keene, has not been a party to a civil proceeding of a judicial or administrative body of competent jurisdiction and as a result of such proceeding was or is subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws.

Item 3. Source or Amount of Funds or Other Consideration.

On September 19, 2012, 1,854,630 shares of the Issuer’s common stock were issued to Mr. Keene as a result of the conversion into the Issuer’s common stock of a loan in the principal amount of $2.65 million plus accrued interest through September 19, 2012.

 

Item 4. Purpose of Transaction.

Pursuant to the terms of the Issuer’s loan from the Reporting Person, the Loan (principal and interest) is required to be converted by the Issuer into shares of its Common Stock on the same terms as such shares are offered publicly while the loan is outstanding. Because the Issuer is currently offering shares to the public in an offering registered with the United States Securities and Exchange Commission, the Reporting Person’s loan has been converted into shares of the Issuer’s Common Stock on the same terms as in such public offering. The Reporting Person may purchase additional shares in the current public offering.

 

Item 5. Interest in Securities of the Issuer.

 

  (a) As of the date hereof, Mr. Keene beneficially owns 2,278,566 shares of the Issuer’s common stock, which represents approximately 16.04% of the outstanding shares of the class. Of this amount 370,926 shares represent Common Stock Warrants issued to Mr. Keene as a result of the conversion of the loan into the Issuer’s common stock and 8,060 shares represent stock options issued to Mr. Keene.

 

  (b) Mr. Keene has sole voting and dispositive power with regard to 2,278,066 shares of the Issuer’s common stock. Mr. Keene has shared voting and dispositive power with regard to 500 shares of the Issuer’s common stock.

 

Item 6. Contracts, Arrangements, Understandings or Relationships with Respect to Securities of the Issuer.

Mr. Keene is a member of the Board of Directors of the Issuer. From time to time Mr. Keene may have banking transactions with the Issuer’s banking subsidiary New Peoples Bank, Inc.
