This registration statement (this “Registration Statement”) is being filed for purposes of registering 12,000,000 shares of common stock of Therapeutic Solutions International, Inc. (the “Registrant”), issuable pursuant to our 2012 Stock Incentive Plan, as the same may be amended or restated (the “2012 Stock Incentive Plan”).  Pursuant to Rule 416(a) under the Securities Act of 1933, as amended (the “Securities Act”), this Registration Statement also covers an indeterminate number of shares that may be offered or issued as a result of stock splits, stock dividends, or similar transactions.

Estimated pursuant to Rule 457(h) and Rule 457(c) of the General Rules and Regulations under the Securities Act for the purpose of computing the registration fee, based on the average of the high and low sales price on the OTCQB market on December 26, 2012, which was $.03.


This Registration Statement shall become effective upon filing in accordance with Rule 462(a) under the Securities Act.

INTRODUCTION


Pursuant to General Instruction E of Form S-8, the Registrant is filing this Registration Statement with respect to the issuance of 12,000,000 shares of its common stock, $0.001 par value per share (the “Common Stock”), under the Registrant’s 2012 Stock Incentive Plan.
